Cannabis Global in Definitive Agreement to Acquire Caliwanna

LOS ANGELES, CA March 14, 2022 Cannabis Global, Inc. announces the signing of a definitive agreement between the Company and the owners of Caliwanna brands for comprehensive marketing and sales integration and acquisition of the Caliwanna cannabis brands.

Under the terms of the agreement, the highly experienced Caliwanna marketing team will immediately launch three of Cannabis Global’s cannabis products – edibles, infused prerolls, and live rosin – into the California marketplace.

Your Endocannabinoid System and What is it?

OVER THE LAST TWO DECADES, RESEARCH ON THE EFFECTS OF CANNABIS ON THE HUMAN BODY LED TO THE DISCOVERY OF THE ENDOCANNABINOID SYSTEM.

The endocannabinoid system (ECS) is a network of CB1 and CB2 cell receptors and the molecules that act on them. CB1 receptors are found mostly in tissues of the brain and the central nervous system (CNS).

CB2 receptors are found in the immune system, gastrointestinal tract, retina, and peripheral nervous system.

CB1 is expressed in the tissues of both the central nervous system (CNS) and the periphery, with a predominant expression on presynaptic nerves.

CB2, sometimes referred to as the “peripheral cannabinoid receptor”, is mainly expressed on immune cells but can also be found on other peripheral tissues such as the retina and in the CNS(Croxford and Yamamura 2005; Mackie 2006).

Endocannabinoids act on CB1 and CB2 receptors to regulate core body functions, including metabolism, appetite, sleep, mood, pain, immune function, and muscle movement.

An irregularity of the ECS can result in pain, digestive issues, seizures, mental health concerns, and problems with mobility and balance. Endocannabinoids in the body are degraded by fatty acid amide hydrolase (FAAH).

Deficiency of CB1 receptor signaling is associated with anhedonia, anxiety, and persistence of negative memories. Chronic variable stress exposure reduces endocannabinoid-CB1 receptor signaling and it is hypothesized that the resultant deficiency in endocannabinoid signaling contributes to the negative consequences of chronic stress. On the other hand, repeated exposure to the same stress can sensitize CB1 receptor signaling, resulting in dampening of the stress response. Data are reviewed that support the hypothesis that CB1 receptor signaling is stress responsive and that maintaining robust endocannabinoid/CB1 receptor signaling provides resilience against the development of stress-related pathologies.)

The body compensates this by desensitizing or reducing the number of CB1 receptors. Consequently, this creates an imbalance in the ECS system. Disease Research linking ECS imbalance to arthritis, depression, PTSD, Parkinson’s disease, schizophrenia, and other diseases is underway. That said, there are indications that certain conditions might have more than a casual relationship with ECS imbalance.

It’s In the Numbers for Cannabis. In the US, Beverages and Pre-Rolls saw the strongest year over year growth rates in 2021

On the other hand, Tincture & Sublingual products in Canada, which were released in late 2020 with other ‘Cannabis 2.0’ products, saw over 3000% growth year over year.

Flower market share is in decline in both the US and Canada. Sales from female consumers in the US have increased 55%, while sales from male consumers have increased 49%.

Gen Z consumers are quickly aging into the market, with US market share to this age group more than doubling over the last two years, from 8.3% to 15%.

Vapor Pen wallet share decreases with customer age, while Edible wallet share increases with customer age.

Trulieve has completed the acquisition of an Operational 64,000 sq. ft. Cultivation Facility in Phoenix and Celebrates One Year Anniversary of Recreational Cannabis Sales in Arizona

TALLAHASSEE, Fla., Jan. 21, 2022 Trulieve Cannabis Corp In Recent News announced it has completed the acquisition of an operational 64,000 sq. ft. cultivation facility in Phoenix, Arizona.

Trulieve will pay $13.75 million cash at closing, with potential milestone payments subject to earn-out and escrow requirements.

“We are excited to close this acquisition which is in line with our strategic priorities. The facility strengthens Trulieve’s presence in the cornerstone market of our Southwest hub, as well as expands our cultivation capacity. We look forward to serving more patients and customers throughout Arizona with our high-quality, proprietary brands.” said Kim Rivers, CEO of Trulieve.

The new cultivation facility immediately improves supply chain capacity and becomes Trulieve’s fifth cultivation facility in Arizona, supporting Trulieve’s 17 dispensaries in the state of Arizona with flower for medical patients and adult-use customers. Trulieve locations in Arizona include Avondale, Casa Grande, Chandler, Cottonwood, Glendale, Guadalupe, Lake Havasu, Mesa, Peoria, Phoenix, Scottsdale, Tempe and Tucson.

Trulieve is also celebrating it’s one year anniversary of Recreational Cannabis in Arizona which occurred shortly after voters approved Proposition 207, which legalized the possession and use of marijuana for adults. Proposition 207, also known as the Smart and Safe Arizona Act, was a voter initiative that appeared on the November 3, 2020 Arizona general election ballot. Passing with about 60% of the vote, the proposition allows for the legalization, taxation, and recreational use of cannabis for adults 21 and over. Proposition 207 includes a new statute (A.R.S. § 36-2862) that authorizes some people to petition a court for an order that will seal their marijuana-related criminal records. Eligible petitioners are those who were arrested, charged, convicted or acquitted of any of the below listed offenses based on conduct occurring before November 30, 2020.

Canadians Love Their Beer! and Cannabis Outshines both Beer and Wine

The cannabis sector contributed $17 billion to Canada’s gross domestic product (GDP) for the year ending July 2021. Unlike beer ($9.3 billion sales) or wine ($8 billion sales), all adult-use cannabis sold in Canada is produced in Canada, magnifying the impact of cannabis on the country’s GDP.

“When you talk to them and you let them know that the GDP contribution right now is comparable to auto manufacturing, or to life sciences or even to dairy, when you show them those statistics they’re quite taken aback,” Khan told BNN Bloomberg in an interview.

“I’m hopeful out of this latest round of meetings that we will be able to get some sort of movement, the proof will be in the pudding, but I’m cautiously optimistic at this point.”

Rishi Malkani, a partner at Deloitte who heads the consultancy’s Canadian cannabis practice, added that cannabis has added to the government’s coffers as well as to the construction sector.

“Our hope with this report is that people would realize that the industry’s done a lot more than simply provide [licensed producers] with $4 billion of retail access,” Malkani said. “It’s loaded government coffers and it’s been a boon to the construction industry.”

Despite the layoffs, losses and the pandemic, the Canadian cannabis sector held its own, according to a new report released by Deloitte in conjunction with the Ontario Cannabis Store (OCS). “Deloitte said the cannabis sector has generated more than $15 billion in direct and indirect tax revenue for Canadian and provincial governments, while creating more than 151,000 jobs since Canada legalized recreational use of the drug in Oct. 2018,” said Omar Khan, senior VP of corporate and public affairs at High Tide

Racial Diversity and Environmental Impact – Lower Scores

The report also shed light on the lack of diversity in Canada’s cannabis industry as it re-examined a study by the University of Toronto that found that 72% of executives and directors in the sector identify as Caucasian males, while only 16% identify as racialized individuals.

It also highlighted the environmental impact that the cannabis industry bears, with 5,184 kilograms of carbon emissions being expelled into the atmosphere for every kilogram of dried flower produced. As well, between 5.8 million to 6.4 million kilograms of cannabis packaging were sent to landfills from 2018 to 2019 alone.
